User Responsibilities
- Users must not engage in any activities that violate applicable laws or regulations, commit fraud, or subject Kaventra Commerce Pvt Ltd to legal action or investigation.
- Bank account or card information provided to Kaventra Commerce Pvt Ltd should only be used for authorized transactions and must not be shared with unauthorized persons.
- Users must adhere to Kaventra Commerce Pvt Ltd’s platform terms and must not tamper with, modify, interfere with, or misuse its software, systems, or services without explicit authorization.
- Users are required to provide accurate, complete, and up-to-date information as part of Kaventra Commerce Pvt Ltd’s Know Your Customer (KYC) and onboarding requirements.
Merchant Responsibilities
- Merchants must comply with all applicable laws and regulations while using the Kaventra Commerce Pvt Ltd platform and services.
- Merchants must not process transactions on behalf of other merchant establishments through the Kaventra Commerce Pvt Ltd platform unless such establishments are duly registered and authorized merchants of Kaventra Commerce Pvt Ltd.
- Refinancing of existing debts using payments received from customers is not permitted.
- Extraction or processing of data from any Payment Instrument must be performed only through methods specified or approved by Kaventra Commerce Pvt Ltd.
- Merchants must provide appropriate transaction records, receipts, or confirmations to customers for transactions processed through the Kaventra Commerce Pvt Ltd platform.
- Merchants are prohibited from imposing unauthorized additional charges on customers or improperly passing on transaction-related fees or discounts.
- Merchants grant Kaventra Commerce Pvt Ltd a limited, non-exclusive license to use their business names, trademarks, logos, and related branding for legitimate marketing, directory, promotional, and service-related purposes.
- Kaventra Commerce Pvt Ltd may include a merchant’s name and business information in its merchant directories, websites, applications, or promotional materials where appropriate.
- Merchants must maintain appropriate security measures on their websites, systems, and/or mobile applications as required by applicable Payment Schemes, 1LINK, service providers, and Kaventra Commerce Pvt Ltd.
- Merchants must comply with operational and technical instructions issued by Kaventra Commerce Pvt Ltd in relation to payments collected against Electronic Transactions.
Transaction and Settlement
- Kaventra Commerce Pvt Ltd, acting as a Payment Aggregator and/or Acquirer/Platform Provider, shall facilitate settlement for merchants according to the applicable settlement cycle. Settlement will typically be completed within two (02) Banking Days for Account-Based (Push) Payments and/or Account Pull Payments, and at least five (05) Banking Days for Payment Scheme-based payments, subject to applicable banking, partner, compliance, reconciliation, risk, and operational requirements.
- The Acquirer/Platform Provider’s commission shall be calculated based on transactions successfully processed and accepted through Kaventra Commerce Pvt Ltd’s platform. All transaction information submitted by merchants must accurately represent legitimate transactions and comply with the applicable agreement.
- Merchants must retain relevant correspondence and records relating to Electronic Transactions, including Sales Records, for a minimum period of five (5) years, or for any longer period required under applicable law or regulation.
General Rules
- Compliance with applicable Scheme Rules, PSO/PSP requirements and SOCs, Acquirer/Platform Provider policies, and the applicable Kaventra Commerce Pvt Ltd agreement is mandatory.
- Merchants must comply with all applicable laws, regulations, rules, and requirements relating to the sale and provision of their products and services.
- Merchants remain responsible for fulfilling their obligations relating to products and/or services sold or provided to customers, including delivery, quality, customer service, refunds, and other applicable merchant obligations.
Prohibited Items and Activities
Merchants are prohibited from using Kaventra Commerce Pvt Ltd’s services for unlawful, restricted, fraudulent, or prohibited activities.
Prohibited products and services may include, but are not limited to, firearms, explosives, illegal drugs or controlled substances, pornography or unlawful adult content, live animals where prohibited by law, fireworks, hazardous materials, unauthorized gambling or betting services, counterfeit goods, stolen goods, and any other products or services prohibited under applicable Pakistani law, regulatory requirements, banking rules, Payment Scheme rules, or the policies of Kaventra Commerce Pvt Ltd and its service providers.
Kaventra Commerce Pvt Ltd reserves the right to suspend, restrict, or terminate services where prohibited or suspicious activities are identified.
Confidentiality and Security
- Merchants must maintain the confidentiality and security of customer, transaction, business, and payment-related information and implement appropriate encryption, access controls, cybersecurity safeguards, and other reasonable security measures to prevent unauthorized access, misuse, data breaches, or hacking.
- Merchants are responsible for maintaining the security of their own websites, applications, devices, credentials, accounts, and systems. Kaventra Commerce Pvt Ltd shall not be responsible for losses resulting from circumstances outside its reasonable control, subject to applicable law and contractual obligations.
- Copyrights, trademarks, logos, trade names, software, designs, and other intellectual property belonging to Kaventra Commerce Pvt Ltd remain the property of Kaventra Commerce Pvt Ltd and may not be used without prior written authorization.
- The name “Kaventra Commerce,” “Kaventra Commerce Pvt Ltd,” associated logos, branding, and other identifying marks may not be copied, reproduced, modified, or used without prior written consent.
Other Businesses and Third-Party Services
Kaventra Commerce Pvt Ltd may facilitate access to or integration with services provided by banks, payment service providers, payment schemes, technology providers, merchants, or other third parties.
Unless expressly stated otherwise, Kaventra Commerce Pvt Ltd is not responsible for third-party products, services, websites, applications, content, availability, or independent business practices.
Disclaimer
The website, platform, information, content, and functionality provided by Kaventra Commerce Pvt Ltd are provided on an “as is” and “as available” basis, subject to applicable law.
While reasonable efforts may be made to maintain reliable and secure services, uninterrupted or error-free availability cannot be guaranteed where interruptions arise from banking networks, third-party providers, maintenance, technical failures, regulatory requirements, or circumstances beyond reasonable control.
Suspension and Termination
Kaventra Commerce Pvt Ltd reserves the right, subject to applicable agreements and laws, to restrict, suspend, investigate, or terminate an account or service where there is suspected fraud, unlawful activity, misuse of the platform, breach of these Terms and Conditions, violation of regulatory requirements, security concerns, or other material risks.
Governing Law and Jurisdiction
These Terms and Conditions and the applicable Agreement shall be governed by and interpreted in accordance with the laws of Pakistan.
Any dispute arising from or relating to these Terms and Conditions shall be subject to the jurisdiction of the competent courts of Pakistan, unless otherwise required by applicable law or agreed between the relevant parties.
